Terms of Service

1. Acceptance of Terms

By accessing or using ShopKatalog (“the Platform”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform.

2. Description of Service

ShopKatalog is a social commerce platform that enables entrepreneurs and businesses (“Sellers”) to create online stores, list products and services, and connect with customers (“Buyers”). Each shop is hosted on a unique custom subdomain (e.g., yourshop.shopkatalog.com).

ShopKatalog does not process payments for orders between Buyers and Sellers. When a Buyer checks out, they are directed to complete the purchase directly with the Seller through their chosen social media platform — WhatsApp, Instagram, Facebook, or TikTok. All order payments are handled outside of the Platform between the Buyer and Seller.

We provide the store-building infrastructure and marketplace visibility but are not a party to any transaction between Buyers and Sellers.

3. User Accounts

3.1 Account Registration

To access certain features of the Platform, you must register for an account. Registration is available via Google Sign-In. You agree to provide accurate, current, and complete information and to keep it up to date.

3.2 Account Security

You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, including but not limited to listing prohibited items, engaging in fraudulent activities, or failing to maintain an active subscription after the trial period.

4. Prohibited Items and Activities

4.1 Pharmaceuticals and Health Supplements

ShopKatalog does NOT permit the listing or promotion of pharmaceuticals, drugs, or health supplements, regardless of claimed regulatory approvals.

This prohibition includes but is not limited to:

  • Prescription medications and drugs
  • Over-the-counter medications
  • Dietary supplements and nutritional supplements
  • Vitamins and mineral supplements
  • Herbal supplements and remedies
  • Weight loss pills and diet supplements
  • Performance-enhancing drugs and supplements
  • CBD, cannabis, or hemp-derived products
  • Any product making medical or health claims

4.2 Other Prohibited Items

The following items and activities are also prohibited:

  • Illegal goods or services
  • Weapons, firearms, ammunition, or explosives
  • Stolen goods or counterfeit items
  • Adult content or sexual services
  • Tobacco, e-cigarettes, and vaping products
  • Alcoholic beverages (unless you hold the required regional licenses)
  • Live animals or animal parts from endangered species
  • Hazardous materials
  • Items that infringe on intellectual property rights
  • Fraudulent or misleading listings

4.3 Enforcement

We actively monitor listings using automated systems and manual review. Violations will result in immediate listing removal and may lead to account suspension or permanent ban from the Platform.

5. Seller Obligations

5.1 Product Accuracy

Sellers must provide accurate descriptions, images, and pricing for all listed items. Misleading or false information is strictly prohibited.

5.2 Order Fulfillment

Sellers are responsible for fulfilling orders promptly and as described. Since orders are completed through social media channels (WhatsApp, Instagram, Facebook, or TikTok), Sellers must communicate professionally and honour commitments made to Buyers on those platforms.

5.3 Customer Service

Sellers must provide responsive customer service and address Buyer inquiries and complaints in a timely manner. We recommend responding to all Buyer messages within 48 hours.

5.4 Compliance with Laws

Sellers must comply with all applicable local, state, national, and international laws and regulations, including tax obligations, licensing requirements, and consumer protection laws.

5.5 Custom Subdomains

Each shop is assigned a unique subdomain on shopkatalog.com. Sellers may not use their subdomain to host content that violates these Terms. We reserve the right to reclaim or reassign subdomains for inactive or suspended shops.

6. Buyer Conduct

Buyers agree to engage with Sellers in good faith. Since all purchases are completed directly between Buyers and Sellers through social media platforms, Buyers should:

  • Provide accurate information when placing orders
  • Communicate respectfully with Sellers
  • Not make false or misleading claims against Sellers
  • Resolve disputes with Sellers directly before contacting ShopKatalog support

7. Subscriptions and Payments

7.1 Free Trial

Every new shop receives a 30-day free trial with full access to all Platform features. No payment information is required to start your trial.

7.2 Subscription Fees

After the free trial, continued use of the Platform requires a paid subscription. Subscriptions are charged per shop on a monthly basis. Multi-month plans are available at a discount:

  • 1 month — standard monthly rate
  • 3 months — 5% discount
  • 6 months — 10% discount
  • 12 months — 17% discount

Current pricing is displayed on your Subscriptions dashboard. Prices are shown in your regional currency. All subscription fees are non-refundable unless otherwise stated in our Return & Refund Policy.

7.3 Zero Transaction Fees

ShopKatalog charges no transaction fees or commissions on sales made through your shop. You keep 100% of the revenue from your orders. The only fees are the subscription fees described above.

7.4 Subscription Payment Processing

Subscription payments are processed through third-party payment processors (such as Paystack, Flutterwave, or Stripe depending on your region). You agree to comply with their applicable terms of service. ShopKatalog does not store payment card details.

7.5 Expired and Suspended Shops

If a subscription expires and is not renewed, the shop and its products will no longer be publicly visible on the Platform. Shops that remain expired for an extended period may be suspended. You may renew your subscription at any time to restore access.

8. Intellectual Property

8.1 Platform Content

All content on the Platform, including text, graphics, logos, and software, is the property of ShopKatalog or its licensors and is protected by copyright and other intellectual property laws.

8.2 User Content

By posting content on the Platform (including product images, descriptions, and shop branding), you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform.

8.3 Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us with details of the alleged infringement.

9. Disclaimers and Limitation of Liability

9.1 Platform “As Is”

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Liability for Buyer-Seller Transactions

ShopKatalog is a marketplace platform. We are not a party to transactions between Buyers and Sellers, and all orders are completed outside the Platform through social media channels. We do not guarantee the quality, safety, or legality of items listed, the accuracy of listings, or the ability of Sellers to fulfil orders.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPKATALOG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

10. Indemnification

You agree to indemnify, defend, and hold harmless ShopKatalog and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any third-party rights.

11. Dispute Resolution

11.1 Disputes Between Buyers and Sellers

Since all transactions are completed directly between Buyers and Sellers via social media platforms, disputes should first be resolved between the parties. If a resolution cannot be reached, you may contact ShopKatalog support. We may investigate and, where appropriate, take action against Sellers who violate these Terms, but we are not obligated to mediate or resolve individual commercial disputes.

11.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Users in other jurisdictions agree to comply with all applicable local laws.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date above. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and Prohibited Items Policy, constitute the entire agreement between you and ShopKatalog regarding your use of the Platform and supersede all prior agreements and understandings.
